Prometheus Intelligence — Terms of Service

1. Agreement to These Terms

Prometheus Intelligence Pty Ltd (“Prometheus”, “we”, “us”) provides an AI‑assisted learning platform and related websites, applications and APIs (collectively, the “Services”). By creating an account or using the Services you agree to be bound by these Terms of Service (“Terms”). If you do not accept every provision below, do not use the Services.

2. The Services and Your Licence

• What we do. Prometheus processes documents and other material you supply to generate knowledge maps, flashcards, study analytics and similar educational tools.
• Licence. While you comply with these Terms we grant you a personal, non‑exclusive, revocable licence to access and use the Services. You must not copy, alter, resell, reverse‑engineer or create derivative works from any part of the Services.
• Availability. Features may change or become unavailable at any time; we make no guarantee of uninterrupted or error‑free operation.

3. Accounts

• You must provide accurate registration details and keep them up to date.
• You are responsible for all activity that occurs under your login. Keep your password secure and tell us immediately of any unauthorised use.

4. Fees (where applicable)

Some features are free; others require a paid subscription. Prices and billing cycles are shown at the point of purchase. Subscriptions renew automatically unless you cancel in your account settings before the current term ends. Pre‑paid fees are non‑refundable except where Australian consumer law requires otherwise.

5. Acceptable Use

You must not:

• violate any law or another person’s rights;
• upload material you do not have the right to use;
• attempt to interfere with the security or performance of the Services;
• use the Services to generate or distribute unlawful, defamatory, infringing or harmful content.

6. Your Content

• Ownership. You retain all rights to the documents, text and other material you upload (“User Content”).
• Licence to Prometheus. You grant Prometheus a worldwide, perpetual, irrevocable, royalty‑free and sublicensable licence to use, reproduce, modify, create derivative works from, distribute, display and otherwise exploit User Content for any lawful purpose, including operating, maintaining, improving and marketing the Services. Where we publish or display material derived from your User Content we will do so only in a de‑identified form unless we obtain your express consent.
• Aggregated data. We may generate aggregated or de‑identified data from User Content for analytics and service improvement. Aggregated data will not identify you.
• Representations. You warrant that you have the necessary rights to grant the above licence and that your User Content does not infringe any third‑party rights or breach any law.

7. Intellectual Property

The Services, including all software, designs, graphics and trade marks, are owned by or licensed to Prometheus and protected by law. No rights are granted to you other than those expressly set out in these Terms.

8. Termination

You may stop using the Services at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination your licence ends and you must cease all use of the Services.

9. Disclaimers

The Services are provided “as is”. To the extent permitted by law, we exclude all warranties not expressly stated in these Terms. Prometheus generates study aids; it does not guarantee accuracy, completeness or fitness for a particular purpose. You remain responsible for verifying all outputs before relying on them.

10. Limitation of Liability

Nothing in these Terms limits liability that cannot legally be limited, including under the Australian Consumer Law. Subject to that, our total liability arising out of or in connection with the Services is limited to the greater of AUD 100 and the fees you paid us in the six (6) months before the event giving rise to the claim. We are not liable for indirect or consequential loss.

11. Indemnity

You agree to indemnify and hold Prometheus and its officers, employees and agents harmless from any loss, claim or expense (including reasonable legal fees) arising from your breach of these Terms or misuse of the Services.

12. Governing Law

These Terms are governed by the laws of Queensland, Australia. The courts of Queensland have exclusive jurisdiction over any dispute arising out of or relating to the Services.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Services or by email at least 30 days before they take effect. Continued use after that date constitutes acceptance of the revised Terms.
